This End-User License Agreement ("Agreement") governs the use of the private software application registered with Intuit Inc. under the name "Charles Personal Books" (the "Application"). The Application is operated solely by Charles Chen ("Operator") for personal bookkeeping and tax-preparation purposes in connection with business entities owned or controlled by the Operator.
The Application is not a public service. It is not distributed, sold, or licensed to any third party. Only the Operator and designated authorized representatives (such as the Operator's licensed Certified Public Accountant) are permitted to use the Application.
No license is granted to any party other than the Operator. By connecting this Application to any QuickBooks Online company file, the account holder represents that they are the Operator or have direct authorization from the Operator.
The Application uses Intuit's QuickBooks Online API solely to read, reconcile, and when necessary correct bookkeeping records belonging to the Operator. No data is redistributed to any third party. All API access occurs under the Operator's own Intuit credentials and OAuth authorization.
The Application is provided "as is," without warranty of any kind, express or implied. The Operator assumes all risk associated with the Application's use on their own books.
To the fullest extent permitted by law, the Operator's total liability is limited to the direct costs of remediation. The Application is not sold, so no refund, indemnity, or compensation is offered.
This Agreement terminates automatically when the Operator revokes the Application's OAuth access in the Intuit dashboard or deletes the Application from their Intuit developer account.
This Agreement is governed by the laws of the State of California, USA.
